Appointment and Retirement of Directors

AGL Energy Limited (AGL) today announced that Kerry Schott AO will be retiring from the Board at the end of her current term following AGL’s Annual General Meeting (AGM) on 3 October 2025, and the Board intends to appoint Betsy Donaghey as a Non-Executive Director with effect from and subject to approval of shareholders at the AGM.

On behalf of the Board, Chair Miles George thanked Kerry Schott for her considerable contribution to the Board since her appointment in November 2022. 

“Kerry Schott has been, and continues to be, an exceptional director and the Board and AGL has benefited from Kerry’s deep energy sector and government experience. We wish her the best for the future." 

Kerry Schott said it has been a privilege to serve as a director of AGL. “AGL has an important role to play in the energy transition and it has been pleasing through my tenure to see the company develop and deliver its strategy. I have appreciated the opportunity to contribute to this and I look forward to continuing in my role until the 2025 AGM”.

Appointment of Betsy Donaghey

Ms Donaghey is an experienced Non-Executive Director with over 30 years' experience in the energy sector. Her previous roles include technical, commercial and executive roles, and she has extensive experience during her Non-Executive Director roles on audit and compliance, risk, technical, regulatory, remuneration and health and safety committees. Ms Donaghey also has significant experience advising on the energy transition including as a member of the Australian Renewable Energy Agency (ARENA) and a panel member to the Solar Flagship Council.

Ms Donaghey is currently a non-executive director of Ampol Limited, Amplitude Energy Limited and the Australian Energy Market Operator (AEMO), but will retire from the AEMO Board in October 2025. She holds a Bachelor of Civil Engineering from Texas A&M University, a Masters of Science in Operations Research from the University of Houston and has completed the Harvard Business School Advanced Management Program. 

Ms Donaghey will stand for election at the AGM and, subject to approval by AGL’s shareholders, her appointment will take effect immediately thereafter. The Board has unanimously recommended that shareholders approve her appointment. 

AGL’s Chair, Miles George, said: “Betsy will be an excellent addition to AGL’s Board. Her extensive skills and experience in the energy sector gained from working in a range of relevant organisations will be of great value as AGL progresses its strategy to transition our energy portfolio and to connect every customer to a sustainable future.
